2014 annual review of emerging corporate governance issues

In its annual review of governance issues, Teachers' distributed 660 letters to major public companies worldwide. The letter recognizes the uniqueness of individual markets, but for companies everywhere, Teachers' highlights board diversity, director term limits and the emergence of measures to express the pay for performance linkage of executive compensation plans. For US-based companies, we expressed concern about an emerging trend of adopting unilateral changes to poison pills without putting such changes to a shareholder vote.
